These Terms of Service (“Terms”) govern your access to and use of the depgaze website at depgaze.xyz and all related services (collectively, the “Service”) provided by Giancarlo Lelli, sole proprietor operating under the trade name “depgaze” (“we”, “us”, “our”). Should depgaze be incorporated into a legal entity in the future, these Terms will transfer to that entity. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
The Service is intended for business use. By using the Service, you represent that you are at least 18 years old and are acting on behalf of a business, company, or professional organisation. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
2. Account, access, and software licence
Certain features of the Service require a paid subscription. The depgaze software is licensed — not sold — under a separate End-User Licence Agreement (EULA), which governs your installation, use, and permitted scope of the software. By completing a purchase through Stripe, you accept both these Terms of Service and the EULA. In the event of a conflict between these Terms and the EULA regarding the use of the software, the EULA shall prevail.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Scrape, crawl, or use automated means to access the Service without our prior written consent.
- Transmit any malware, viruses, or other harmful code through the Service.
- Use the Service to build a competing product or service.
4. Intellectual property
All content, trademarks, logos, software, and materials on the Service are the exclusive property of depgaze or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
5. Third-party services
The Service integrates with third-party providers including Stripe (payments) and Vercel (hosting and analytics). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
6. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.
7. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. depgaze does not guarantee that it will detect every malicious, vulnerable, or otherwise harmful package.
8. Limitation of liability
To the maximum extent permitted by applicable law, depgaze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total aggregate liability shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred euros (€100).
9. Indemnification
You agree to indemnify and hold harmless depgaze and its owner, affiliates, and contributors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive.
11. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12. Governing law
These Terms shall be governed by and construed in accordance with the laws of Italy. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Italy.
13. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
